General Summary

We are supporting the leading provider of mission-critical services to U.S. government agencies, delivering operations, maintenance, engineering, and integrated program support across the Department of Defense, the Intelligence Community, and other secure federal environments worldwide. The Assistant General Counsel serves as a senior legal advisor providing strategic counsel across complex federal contracting matters, with particular depth supporting Department of Defense (DoD) and Intelligence Community (IC) programs. Operating within highly classified and mission-driven environments, this role advises executive leadership, capture teams, and program management on procurement strategy, contract compliance, risk mitigation, and dispute resolution. This position requires deep expertise in the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), Cost Accounting Standards (CAS), and the unique legal and regulatory dynamics of DoD and IC contracting, including classified programs, special access programs (SAPs), and sensitive mission requirements. Location: Hybrid in the DMV area and the ability to work from Reston and Arlington offices. Clearance: Active TS-SCI (Full Scope Poly preferred) security clearance from DOD or IC

Responsibilities

Provide senior-level legal counsel on federal procurement matters across proposal development, award, and contract performance, with emphasis on DoD and IC programs.
Advise capture and proposal teams on RFP terms and conditions, DFARS flow-downs, compliance strategy, protest risk, and competitive positioning.
Support contract performance activities including change management, Requests for Equitable Adjustment (REAs), certified claims, and Contracting Officer Final Decisions.
Lead or oversee bid protests and government contract disputes, including coordination with outside counsel and litigation strategy.
Advise on FAR and DFARS cost principles, cost allowability and allocability, CAS compliance, and audit-related matters (e.g., DCAA/DCMA interactions).
Identify and mitigate Organizational Conflicts of Interest (OCI), including impaired objectivity and unequal access concerns common in defense and IC contracting.
Draft and negotiate NDAs, subcontracts, teaming agreements, joint venture agreements, and complex commercial terms supporting prime and subcontractor roles.
Provide guidance to joint venture partners and program leadership on classified contracting requirements and compliance obligations.
Monitor regulatory developments and industrial base activity (e.g., mergers, divestitures) impacting competitive posture within the defense and IC sectors.
Mentor junior attorneys and deliver internal training on government contracts compliance, ethics, and risk management.

Qualifications

Juris Doctor (JD) from an accredited law school and active bar membership.
Active TS-SCI (Full Scope Poly preferred) security clearance from DOD or IC)
Significant experience (15+ years) in government contracts law within a federal contractor, defense contractor, IC-focused organization, or leading government contracts practice.
Demonstrated expertise in FAR, DFARS, and Cost Accounting Standards (CAS).
Experience supporting DoD and/or Intelligence Community programs, including familiarity with classified contracting environments.
Experience handling REAs, certified claims, bid protests, and procurement disputes.
Demonstrated experience negotiating complex government, subcontract, teaming, and joint venture agreements.
Experience interacting with DCAA, DCMA, and/or other oversight entities preferred.
Ability to operate independently within highly regulated and classified environments.
Strong written advocacy, executive communication, and risk assessment skills.
