Position Overview: ZenPoint Solutions LLC is seeking a Contracts Manager to lead our contracts function. This full-time role will oversee contract lifecycle management, advising leadership on contractual risk, supporting strategic capture efforts, and ensuring compliance with all applicable federal acquisition regulations. This position reports directly to the CEO and partners closely with Strategic Growth and Finance to support the company’s growth strategy and government contracting activities.
Key Responsibilities:
Contracts Management
Manage the company’s contracts function and provide guidance on contract administration, negotiations, and compliance.
Advise leadership on contractual obligations, compliance requirements, contractual risks, and negotiation considerations.
Develop and implement contract management processes, templates, and best practices to support the company’s continued growth.
Partner with BD and senior leadership in the pursuit of proposals and contract changes.
Contract Lifecycle Management
Review, create, and negotiate various contractual agreements such as prime contracts, subcontract agreements, reps & certs, Teaming Agreements, Memorandum of Understanding (MOU), and Nondisclosure Agreements (NDAs).
Ensure compliance with contractual terms, reporting requirements, and flow-downs, including subcontract compliance.
Draft correspondence to Contracting Officers, Contract Specialists, and contacts/subcontracts personnel regarding contractual issues for review and approval.
Maintain contract files and documentation aligned to audit readiness, internal controls, and customer expectations. Support audits of systems, processes, and schedules, as required.
Compliance & Risk Management
Ensure company adherence to FAR, DFARS, and other regulatory requirements.
Manage compliance tracking, including regulatory reporting (e.g., SAM.gov, eSRS), organizational conflicts of interest (OCI), and contract schedules (e.g., ongoing monitoring of GSA contract sales, pricing integrity, administrative updates, and regulatory rules to avoid contract cancellation or financial penalties).
Interpret and advise on contractual clauses and requirements. Identify, assess, and mitigate legal and financial risks embedded within RFP terms, solicitation clauses, and proposed pricing strategies.
Identify contractual risks early and recommend mitigation strategies.
Partner with back-office teams as needed to support contract interpretation.
Support subcontract negotiations, performance management, issue resolution, and closeout.
Proposals
Support capture and proposal teams in analyzing solicitations for contract terms, requirements, and risks.
Support proposal preparations to government solicitations such as IDIQs, Task Orders, BAAs, GSA Schedules, etc.
Provide contracts guidance on solicitation requirements, contract types, contractual risks, and compliance considerations.
Collaborate with back-office teams as appropriate to support proposal pricing development.
Contribute to post-submission discussions, contract kick-offs, and award clarifications.
Required Qualifications:
Candidate must be a United States citizen
Bachelor’s degree in related field
Minimum of 6-8 years of experience in federal government contracting, with a proven track record of handling contract administration
In-depth knowledge of Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation (DFAR)
Proven ability to negotiate favorable terms and conditions with both government agencies and commercial teammates
Familiarity with federal portals
Strong written and verbal communication skills, especially in fast-paced environments
Bonus Qualifications:
Certified Federal Contracts Manager (CFCM), Certified Professional Contracts Manager (CPCM), or Project Management Professional (PMP) certifications
Compensation: The salary range for this position is $125,000 - $165,000.
