We are seeking an NDA Manager to support all facets of Non-Disclosure Agreements (NDAs) and other non-monetary agreements within the Business, Construction and Facilities Department (BCFD), Contracts & Asset Management Group. In this role, you will support the drafting, negotiation, administration, and lifecycle management of NDAs, Bailment Agreements, Software License Agreements, and other related non-monetary agreements. You will serve as a key interface between APL program staff and external commercial, academic, and government partners to facilitate the timely execution and administration of agreements that support APL's mission.

The referenced pay range is based on JHU APL's good faith belief at the time of posting. Actual compensation may vary based on factors such as geographic location, work experience, market conditions, education/training and skill level with consideration for internal parity. For salaried employees scheduled to work less than 40 hours per week, annual salary will be prorated based on the number of hours worked. APL may offer bonuses or other forms of compensation per internal policy and/or contractual designation. Additional compensation may be provided in the form of a sign-on bonus, relocation benefits, locality allowance or discretionary payments for exceptional performance. APL provides eligible staff with a comprehensive benefits package including retirement plans, paid time off, medical, dental, vision, life insurance, short-term disability, long-term disability, flexible spending accounts, education assistance, and training and development. As an NDA Manager, you will...
- Support the full lifecycle administration of APL's non-monetary agreements, including determining agreement requirements; drafting, reviewing, negotiating, coordinating execution; maintaining active agreements; processing renewals and amendments; and retiring expired agreements.
- Draft, review, revise, and negotiate Non-Disclosure Agreements (NDAs), Proprietary Information Agreements (PIAs), Confidential Disclosure Agreements (CDAs), Bailment Agreements, Software License Agreements, and other related agreements.
- Coordinate and communicate with APL program managers, technical staff, attorneys, and external organizations to facilitate agreement execution and ensure compliance with APL policies and procedures.
- Consult with APL technical and program staff to identify appropriate contractual provisions and tailor agreement terms and conditions based on the nature of the relationship, technical scope, and associated risks.
- Support negotiations with commercial entities, universities, nonprofit organizations, and government agencies to resolve contractual issues and achieve mutually acceptable terms.
- Maintain accurate agreement records, status tracking, and documentation within APL agreement records systems.
- Assist with the continuous improvement of agreement processes, templates, and workflows to enhance efficiency and consistency.
Qualifications
You meet our minimum qualifications for the job if you...
- Possess a Bachelor's degree in Business, Legal Studies, Contract Management, or a related field.
- Have at least 2 years of professional experience supporting contracts, agreements, or legal/contract administration in a federal government contracting environment.
- Have a working knowledge of contract principles and contract law.
- Have familiarity with the Federal Acquisition Regulation (FAR) and applicable FAR supplements.
- Possess strong written and verbal communication skills and the ability to effectively interact with individuals at all organizational levels.
- Are proficient in Microsoft Office applications, particularly Word and Excel.
- Demonstrate strong organizational skills with the ability to manage multiple priorities and meet deadlines in a fast-paced environment.
- Are able to work independently while building collaborative and effective working relationships.
- Have the ability to obtain a DoW Secret level Security Clearance.
You'll go above and beyond our minimum requirements if you...
- Have direct experience drafting, reviewing, or negotiating NDAs, Proprietary Information Agreements, Confidential Disclosure Agreements, Bailment Agreements, and/or Software License Agreements.
- Have experience administering non-monetary agreements in a research, engineering, or federally funded environment.
- Possess experience with contract lifecycle management or agreement tracking systems.
- Have demonstrated experience interpreting and negotiating contractual terms and conditions with government and/or commercial organizations.
