Job Description

OVERVIEW:

We are seeking an experienced Contracts Specialist to support a dynamic and diverse government contracting portfolio spanning prime contracts, subcontracts, teaming arrangements, and commercial agreements. This is a hands-on, high-impact role for a seasoned contracts professional who can take ownership of a complex, multi-vehicle portfolio, independently identify priorities and risks, and drive matters through resolution with minimal oversight. The ideal candidate is proactive, highly organized, and comfortable operating in an environment where sound judgment, responsiveness, and accountability are essential. Rather than waiting for direction, this individual will assess what requires attention, anticipate contractual and compliance needs, and take appropriate action to keep matters moving. You will operate as a peer-level contributor alongside existing contracts leadership and work directly with senior decision-makers, program leads, accounting, business development, and other corporate stakeholders. The role offers significant autonomy and is best suited for a contracts professional who is confident in making informed recommendations, managing competing priorities, and taking full ownership of their portfolio.

GENERAL DUTIES:

Teaming Agreements & NDAs
  • Draft, review, and negotiate NDAs/CDAs prior to any exchange of proprietary or competition-sensitive information with potential partners
  • Draft and negotiate teaming agreements (TAs) defining roles, work share, exclusivity, and terms tied to a specific pursuit
  • Track NDA/TA expiration and renewal dates
  • Maintain a repository/log of all executed NDAs and TAs
  • Coordinate with business development/capture teams on partner selection and agreement scope
  • Ensure teaming agreement terms anticipate and align with eventual prime/subcontract flow-down requirements

Subcontracts
  • Draft, negotiate, and execute subcontracts and contract modifications
  • Ensure compliance with FAR, DFARS, and applicable agency supplements to include contract reporting requirements
  • Manage requirements specific to contract type (FFP, CPFF, T&M, IDIQ, etc.)
  • Support proposal preparation, including terms and conditions review and risk assessment
  • Track Reps and Certs, COI and other contract documents for annual updates
  • Administer subcontract modifications, stop-work orders, and terminations
  • Monitor subcontractor performance, compliance
  • Maintain subcontract files in accordance with company and government audit requirements
  • Monitor small business subcontracting plan compliance, where applicable

Contract Administration (General)
  • Maintain organized contract files (prime, sub, teaming, NDA) per document retention policy
  • Execute prime contract modifications
  • Track key dates: option periods, expirations, deliverables, renewals
  • Interpret contract terms and advise internal stakeholders (program management, finance, BD)
  • Coordinate with legal on risk allocation, indemnification, IP, and data rights clauses
  • Support internal and external audits (e.g., DCAA, DCMA)
  • Draft, negotiate, and execute consultant (1099) agreements and modifications

Compliance & Risk Management
  • Monitor ongoing compliance with FAR, DFARS, and agency-specific regulations
  • Conduct organizational conflict of interest (OCI) screening and mitigation
  • Maintain current representations and certifications (SAM.gov, reps & certs)
  • Support ethics and compliance training related to contract administration
  • Identify and escalate contractual risks, such as funding gaps, performance issues, etc.

Cross-Functional Support
  • Partner with capture/BD teams on opportunity assessment and teaming strategy
  • Support pricing and cost proposal development with contract terms guidance
  • Provide contract guidance and training to program and project managers
  • Support contract closeout


REQUIRED QUALIFICATIONS:
  • Bachelor's degree preferred with 5+ years of experience; in lieu of a degree, 10+ years of experience required.
  • 5-10 years of hands-on contracts experience in a corporate contracting environment, on both the prime and subcontract side
  • Demonstrated ability to manage a complex, multi-vehicle portfolio independently
  • Deep working knowledge of FAR, DFARS, and JTR
  • Direct experience with IDIQ/task order vehicles, GSA Schedule and/or GWAC administration, and cost-type contracts
  • Familiarity with SBA joint venture structures and compliance requirements
  • Experience supporting incurred cost submissions and interfacing with DCAA/DCMA
  • Experience identifying and mitigating organizational conflicts of interest (OCI)
  • Proficiency with at least one contract management system
  • Proposal pricing support experience, able to map LCATs, validate rates, and support proposal cost volumes
  • Sharp written communication, correspondence that is clear, precise, and needs minimal revision
