Job Description
The SOSi Legal Department is interested in supporting the legal education and training of a current law student interested in international business and transactions as more fully described below. The intern's work will be overseen by the Chief Legal Officer so that the intern can learn and develop skills in international law and transactions in support of and as a compliment to work being performed by Legal Department Staff.
This is an unpaid internship with no expectation of compensation anticipated to begin during the first week of June 2026 and extending until the beginning of August 2026. The intern can, but is not required to, work out of SOSi's headquarters in Reston, VA. The internship is not intended for and does not guarantee employment with SOSi.

Intern Areas of Work, Training, and Development
Review and Analysis of International Business Transactions
- Conduct legal research on the regulatory and contractual requirements applicable to proposed cross-border transactions, teaming arrangements, and international sales.
- Assist in reviewing and summarizing key terms of international agreements and flagging issues for attorney review.
- Prepare comparative analyses of legal and regulatory considerations across relevant foreign jurisdictions.
- Support due diligence efforts related to international counterparties, including research on jurisdiction-specific corporate, tax, and compliance obligations.
Foreign Entity Formation and Maintenance
- Research jurisdictional requirements for establishing and maintaining foreign subsidiaries, branches, and representative offices.
- Assist in tracking corporate governance obligations, annual filings, registered-agent requirements, and other recurring compliance deadlines for foreign entities.
- Help maintain and organize corporate records, organizational charts, and entity-management documentation.
- Draft and assemble routine corporate documents (e.g., resolutions, consents, and certificates) for attorney review.
Export Control Review and Support
- Conduct research on U.S. export control regimes, including the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), and OFAC sanctions programs, as well as comparable foreign controls.
- Assist with preliminary classification research and the preparation of supporting documentation for licenses, agreements (e.g., TAAs/MLAs), and exemptions.
- Support screening and recordkeeping processes related to restricted-party and end-use/end-user reviews.
- Help summarize regulatory developments and assist in updating internal compliance reference materials.
Foreign Intellectual Property Management
- Conduct research on IP protection and enforcement requirements in foreign jurisdictions.
- Support analysis of IP ownership, licensing, and technology-transfer considerations in cross-border contexts.
Intercompany Transactions
- Research legal, regulatory, and transfer-pricing-adjacent considerations relevant to transactions among affiliated entities across jurisdictions.
- Help organize and maintain documentation supporting intercompany arrangements and approvals.
- Support consistency reviews to ensure intercompany agreements align with corporate structure and governance records.
Qualifications
- Currently enrolled in an ABA-accredited law school.
- Strong legal research and writing skills; familiarity with Westlaw.
- Interest in international law, trade compliance, and corporate law.
- Detail-oriented, organized, and able to handle sensitive information with discretion.
