We are seeking an experienced General Counsel to join our dynamic team. As a legal leader, you will define the strategy and apply rigorous legal principles to corporate operations, focusing on the protection of intellectual property, the efficiency of our contracting lifecycle, and the robustness of our compliance programs. You will play a crucial role in reducing administrative friction through process optimization, managing employment law matters, and serving as the primary liaison for specialized external counsel. This role requires a deep understanding of the intersection between law and technology to ensure the high availability and effectiveness of our legal support.

Location: Primarily Remote. Candidates must be based in California.
Security Clearance Requirement: Applicants must be US citizens and eligible to obtain and maintain an active Secret security clearance or above.
Key Responsibilities
--Contracting and Commercial Transactions
Drive the drafting, negotiation, and management of complex commercial agreements, including Master Service Agreements (MSAs), Statements of Work (SOWs), and NDAs.
Design and architect standard contract templates and playbooks to establish organizational standards and best practices for commercial and Public Sector engagements.
Manage federal procurement legalities, ensuring strict adherence to FAR/DFARS requirements and flow-down provisions.
--Intellectual Property and Compliance
Lead the strategic effort to protect company and client intellectual property, including overseeing trademark filings and managing IP clauses in technology-heavy contracts.
Implement and refine comprehensive compliance programs covering data privacy, export controls, and ethics.
Proactively identify and address regulatory shifts to ensure the company remains ahead of compliance requirements.
--Employment Law and Corporate Governance
Serve as the primary legal advisor for HR on employment matters, including offer letters, restrictive covenants, employee relations, and policy development.
Support corporate governance activities, including board resolutions, entity management, and maintenance of corporate records.
Identify system weaknesses in internal policies and drive resulting remediation and systemic improvements.
--External Counsel Coordination
Serve as the primary point of contact for external law firms, strategically delegating specialized matters (e.g., complex litigation, international tax, or specialized patents) to outside experts.
Manage legal budgets and ensure external counsel provides high-quality, cost-effective support aligned with company objectives.
--Stakeholder Communication and Collaboration
Act as a subject matter expert and trusted advisor to internal leadership on legal strategy, risk tolerance, and contractual negotiations.
Influence internal decision-making by providing clear, actionable legal advice that balances risk with business goals.
Qualifications
Juris Doctor (JD) degree from an accredited law school is required.
Active membership and good standing in at least one State Bar is required (California Bar membership preferred).
7+ years of experience in corporate law, government contracting, or in-house legal departments.
Expert-level knowledge of California employment laws, with a proven ability to interpret and apply complex state-specific regulations.
Demonstrated ability to address and manage legal requirements across multiple jurisdictions and adapt to various state-level regulatory environments.
Strong legal drafting and analytical skills with an emphasis on clarity, precision, and practical application.
Deep experience with Public Sector contracting (FAR/DFARS) and technology-focused commercial agreements.
Deep knowledge of Intellectual Property (IP) law and data privacy regulations.
Demonstrated ability to influence executive decision-making across organizational boundaries.
Preferred qualifications:
Experience working within a software product company or the defense contracting industry.
Experience advising companies with a distributed workforce across multiple states.
