As a member of BAE Systems' Electronic Systems (ES) legal department, you will be required to display responsive, superb-quality legal knowledge, employ strategic analysis and critical thinking, and apply your business judgment to meaningfully support the enterprise as it works to achieve its goals and support the Electronic Systems mission. We are looking for the right candidate to join a dynamic team in a fast-paced environment supporting a global aerospace, defense and technology company.

This role will serve as Counsel to an exciting and growth-oriented business area within one of BAE Systems' largest and most prestigious sectors. The Counsel will split their time between providing legal support to the ES Sector Supply Chain organization as well as supporting product lines within the Controls & Avionics Systems (CAS) business. The CAS business develops and delivers mission and safety critical products and systems for commercial and military platforms, including fly-by-wire controls, inceptor systems, digital engines controls, autonomous flight solutions, mission systems, electric power storage, propulsion and power management systems. In addition to supporting the CAS business, you will utilize your business acumen and legal knowledge to handle the full spectrum of legal work relating to supply chain for both commercial transactions and U.S. Government contracts, as well as additional duties as a generalist business counsel.

As a key member of the legal team, the Counsel will report directly to the Principal Deputy Chief Counsel and the Deputy Chief Counsel for CAS to support the Supply Chain organization and the CAS business. The Supply Chain function is headquartered in Nashua, NH and the CAS business is headquartered in Endicott, NY. This position requires regular interfacing with our business colleagues as well as other members of the legal team who support the different ES businesses. The right candidate will thrive in an atmosphere which requires daily interaction with business, program, functional and legal employees.

Duties and Responsibilities
  • Under general direction and in support of the Deputy Chief Counsels, this position will function in a generalist role, with primary focus on supply chain and the CAS business.
  • This includes commercial transactions (including international opportunities), U.S. Government contracts (including procurement, suspension and debarment issues, subcontracts in support of U.S. Government prime contracts, associated offset agreements, and other issues), and supply chain management issues.
  • Act in a lead role for the company regarding risk management with the Electronic Systems supply chain. This includes advising the supply chain organization during negotiations with subcontractors and suppliers, as well as overseeing various legal compliance responsibilities. These responsibilities include, but are not limited to, flowing down ethics into the supply chain, counterfeit parts prevention, cybersecurity, country-of-origin compliance, export control, FCPA, and trafficking in human persons.
  • Provide sound, pragmatic legal advice and innovative/creative solutions on a wide range of business and supply chain matters that facilitates the achievement of business objectives.
  • Provide key support on opportunities and proposals within assigned product lines of the CAS portfolio, and play an integral role on cross-functions program teams to ensure thorough and effective issue spotting, risk mitigation, solution finding and delivery of CAS strategic business objectives throughout the full life cycle of opportunities within your remit.
  • Provide ongoing counseling and support to the CAS business area and ES supply chain organization.
  • Conduct legal research and prepare written opinions based on that research.
  • Work with functional stakeholders to develop and improve processes and tools aimed at enhancing efficiency, consistency and auditability.
  • Proactively research and report on changes in relevant laws, regulations and industry standards, as well as track emerging trends.
  • Guide successful resolution of legal problems, examine various documents and data and provide counsel to the business on the best course of action.
  • Assist contracts department with negotiation and preparation of contractual documents including, but not limited to, licenses, contracts, non-disclosure agreements, and teaming agreements and support the contracts team with technical interpretations of governing law and regulations.

Participate in reviewing, interpreting, and drafting various company policies and procedures, including responsibility for developing new or enhancing existing contract templates, guidelines, policies, and training materials in support of the legal department's efforts to empower other functions to better assist the business areas they support.
  • Assist with analysis and advice regarding litigation and pre-litigation matters.
  • In collaboration with the Deputy Chief Counsels and the Electronic Systems Intellectual Property Counsel, review and advise on intellectual property rights, software license rights, and other intellectual property matters affecting product development, contract negotiation, and other business issues.
  • When directed, conduct internal investigations under the supervision of the Deputy Chief Counsel.
  • Assist in the preparation of various legal training courses.

  • Accept other tasks as assigned by the Vice President, Chief Counsel or the Deputy Chief Counsel.


Required Education, Experience, & Skills

  • Must Possess a Juris Doctorate Degree, along with strong undergraduate school credentials.
  • Must hold a license to practice law in at least one United States jurisdiction, preferably NY, NH, VA, or MA.
  • 5-plus years of legal experience in a law firm, in-house, or government setting. Preference for experience at a technology company or government contractor.
  • In depth knowledge of the FAR, DFARS, TINA, CMMC, and cybersecurity regulations.
  • Experience with managing risk within a company's supply chain organization.
  • Experience with intellectual property issues, including questions regarding trademarks, patents and patent licensing.
  • Experience with commercial and open-source software licensing, and the ability to provide advice on the risk associated with third party software use.
  • Current active Secret clearance or the ability to obtain such a clearance.
  • Dedication to the Electronic Systems mission of serving the U.S. military and its allies.
  • Excellent verbal and written skills, along with the ability to deal with executives and employees at all levels.
  • Must be a self-starter, and able to manage and prioritize a multitude of complex and challenging situations with little supervision.
  • Willingness to improve, enhance, and grow your technical proficiencies, as well as continue developing professionally.
  • High moral compass with unquestioned integrity and ethics.
  • Demonstrated record of leadership and team skills.


Pay Information
Full-Time Salary Range: $153377 - $260743

Please note: This range is based on our market pay structures. However, individual salaries are determined by a variety of factors including, but not limited to: business considerations, local market conditions, and internal equity, as well as candidate qualifications, such as skills, education, and experience.
