Job Description
This position is responsible for managing the full lifecycle of commercial and government contracts and subcontracts for Vistra and its joint ventures. The Senior Contracts Manager serves as the company’s primary hands-on contracting professional, providing contract management and compliance support to proposal, program management and executive teams.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Core duties and responsibilities include the following. Other duties may be assigned.
Contracts
· Manage the full contract and subcontract lifecycle from initiation through closeout for all clients and vendors.
· Prepare, review and negotiate non-disclosure agreements (NDAs), teaming agreements (TAs), prime contracts, subcontracts, task orders and vendor contracts.
· Review and coordinate acceptance of contract awards; monitor funding and performance periods; prepare and process contract modifications and amendments.
· Prepare and issue subcontracts and subcontracts modifications, monitor subcontract funding and compliance.
Compliance
· Ensure compliance with contract terms and applicable regulations, including FAR and DFARS.
· Maintain systems for tracking and reporting on contracts, NDAs and TAs, including key terms, funding, deliverables, reporting, periods of performance, options and insurance requirements.
· Review solicitations and requests for proposals/quotes to identify contractual and regulatory requirements and support proposal team during development and reviews.
· Maintain and manage government and customer contract systems and filings, including, but not limited to GSA Schedule administration, SAM.gov registrations, contractor reporting, CPARS support and IFF reporting.
· Support Facility Security requirements as a backup resource.
· Support ISO 9001 compliance activities, including document control and audit coordination, under executive direction.
Planning and Support
· Research contract and compliance questions and coordinate with consultant providing contract and compliance counsel to company leadership.
· Maintain the contract filing system and ensure documentation is complete, current and audit ready.
· Serve as the primary operational point of contact for contracting officers and partner company contracting counterparts.
· Work closely with program management, finance, recruiting and HR to ensure alignment between contract requirements, staffing, billing and compliance.

· Experience with and technical knowledge of FAR and DFAR Supplement, federal contracting, federal proposals, negotiations and submissions.
· Experience developing risk mitigation plans for compliance, performance, and vendor/supplier oversight risks.
· Strong interpersonal skills and the ability to work collaboratively.
· Proficient in Microsoft Suite, including Outlook, Excel and Copilot and Adobe Acrobat. Experience using ERP systems for contract management desired.
· Ability to manage multiple concurrent projects and requirements.
· Ability to identify opportunities to streamline and automate workflows using technology to improve accuracy and turnaround time.
EDUCATION AND/OR EXPERIENCE:
· Bachelor's degree from a four-year college or university accredited by an accrediting agency recognized by the U.S. Department of Education
· 6-8 years of experience working with commercial and government contracts
· Relevant experience may be substituted for education
