Overview
SOSi is currently seeking an experienced Associate General Counsel to join our team in Reston, VA. The Associate General Counsel will be primarily responsible for providing transactional support and intellectual property guidance, and is expected to provide sound judgment and support optimal decision making, as well as provide legal consulting and strategic support to senior management on matters including compliance, business operations, new business opportunities and other projects requested by senior management.

Overview
SOSi is currently seeking an experienced Associate General Counsel to join our team in Reston, VA. The Associate General Counsel will be primarily responsible for providing transactional support and intellectual property guidance, and is expected to provide sound judgment and support optimal decision making, as well as provide legal consulting and strategic support to senior management on matters including compliance, business operations, new business opportunities and other projects requested by senior management.
Essential Job Duties
- Serves as the day-to-day attorney/legal advisor to the company's business units focused on all types of customer, subcontractor, and business partner relationships, with a focus on emerging technology sales, licensing, and subscriptions.
- Works closely with other lawyers throughout the company and coordinates legal matters handled by outside lawyers.
- Provides legal oversight and support for transactional legal work, including the review, drafting and negotiation of both commercial and public sector agreements.
- Assists the business development function with capture and proposals focused on commercial products and services, other transactions, and commercial solutions openings.
- Interprets contract terms; assesses business and legal risks to minimize loss and liability; and communicates such to management and other internal clients.
- Assists with the company's responses from the proposal stage (including RFP responses) through contract execution and assists with respect to contract compliance on a "go forward" basis.
- Responds to ad hoc queries to include identification, analysis, and evaluation of risks in order to provide appropriate legal solutions.
- Provides risk management analysis related to general business practices and monitors claims against or on behalf of the company.
- Advises on legal issues involving government and regulatory compliance.
- Provide legal support on company intellectual property portfolio development, protection, maintenance, licensing, and sales.
- Participates in the definition, development and continuing legal oversight of corporate policies concerning Government and Commercial Contracting, compliance and related matters.
- Supports the development, maintenance, and defense of the Company's intellectual property portfolio.
- Interprets, manages, and updates various internal policies, templates and requirements, including providing employee training regarding such policies, templates and requirements.
- Creates templates and form contracts for routine transactions.
- Develops and maintains deep knowledge of the Company's business strategy and IP issues as well as continuously learning about current and historic products and technologies, including those of company's competitors.
Qualifications
Minimum Requirements
- Ability to obtain and maintain a U.S. Government Security Clearance.
- Juris Doctor degree from an accredited law school.
- Member of at least one state bar.
- At least five years' experience in the U.S. Government Contracts environment; this experience may have been gained within a law firm environment, or with a U.S. Government Contractor
- Demonstrates deep general commercial or functional knowledge across a wide range of sub disciplines, including general corporate law, employment law, immigration law, technology transactions, data privacy, risk management, compliance, contract management, intellectual property/data rights, trade secrets, registration and other resolutions specific to contracting commercially or with the public sector.
- Experience with Government Contracts administration and associated laws, rules, and regulations including commercial items contracting requirements, Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations (DFAR), International Trade in Arms Regulations (ITAR), Truth in
- Negotiations Act (TINA), Procurement Integrity Act, Foreign Corrupt Practices Act (FCPA), Anti-Trafficking regulations, among others.
- Intelligent and articulate individual who can relate to people at all levels of an organization and possesses excellent communication skills.
- Strong understanding of Microsoft Office Suite applications.
- Ability to serve as a business partner to develop practical solutions to challenging problems.
Preferred Qualifications
- Experience in intellectual property transactions, AI solutions, reseller agreements, SaaS and PaaS agreements, and commercial product and services procurements.

- Working conditions are normal for an office environment.
- Requires periods of non-traditional hours including consecutive nights and weekends when necessary.
- Requires frequent travel to meet with stakeholders, attend conferences, and represent the company at various functions.
