Job Description

JOB SUMMARY

The Counsel (In-house) position provides support to the General Counsel in the day-to-day management of legal issues before the company. This role provides legal guidance across a range of operational, compliance and workforce-related matters. Duties may include provide legal counsel on labor and employment matters (e.g. wage and hour, discrimination, harassment, retaliation, discipline, and terminations), advising related to government compliance (FAR, DFARS, etc), managing or supporting employment-related litigation, claims and administrative complaints.

This significant position requires both a strategic mindset for long-term outcomes and the ability to adapt quickly to real-time changes in priorities within a complex and fluid security environment. The ideal candidate brings experience advising management across a variety of operational and employment items, has a proven track record of building high-trust relationships across all levels of the organization, fosters proactive and results-oriented communications and supports a culture focused on integrity that delivers business results.

D U T I E S I N C L U D E

Legal Counsel
  • Provide legal counsel and advise leadership on labor and employment matters, including wage and hour, discrimination, harassment, retaliation, discipline, and terminations.
  • Advise on public sector regulatory compliance, administrative law matters, and governmental processes.
  • Interpret and apply federal, state, and local employment laws and public sector regulations.
  • Identify legal risks and develop practical, business-aligned solutions in partnership with HR leadership.

  • Litigation & Administrative Proceedings
  • Manage or support employment-related litigation, claims, and administrative complaints. Work with the GC related to disputes involving employment, client incidents, tort liability, wage and hour, workers' compensation, or subcontractor issues.
  • Partner with outside counsel as needed; oversee strategy, budgeting, and case progress.
  • Support internal investigations and respond to agency charges (EEOC, DOL, etc.). May draft position statements, motions, and legal memoranda.

  • Employment + Labor Support
  • Provide legal guidance on hiring practices, performance management, worker classification, discipline, and terminations. Support HR on policy interpretation, employee relations, and workplace investigations.
  • Oversee drafting and updating employee handbooks, security policies, and operational procedures. May draft and review employment agreements, policies, handbooks, and restrictive covenant agreements
  • Advise on compliance with federal and state employment laws (e.g., FLSA, FMLA, ADA, Title VII, NLRA).
  • Act as a visible leader and communicator, ensuring legal guidance is accessible and actionable for all business partners. Work with HR and Training leadership to develop and deliver training programs to internal teams on legal and compliance topics. Engage in established content review for relevance and up-to-datedness

  • Contracting + Commercial Support
  • Draft, review, and negotiate a wide range of contracts, including security services agreements, subcontractor agreements, teaming agreements, NDAs, employment agreements, and vendor contracts
  • Identify legal and business risks and propose practical mitigation strategies.
  • Support corporate transactions and strategic initiatives as needed. Partner with business units to streamline contract processes and templates.

  • Government Contracting & Industrial Security
  • Provide legal advice related to government contracts, FAR/DFARS compliance, contract interpretations, and flow-down requirements
  • Provide guidance on bid protests, claims, REAs, terminations, and disputes.
  • Counsel leadership on procurement integrity, ethics, small business compliance, and regulatory updates.
  • Support internal audits, investigations, and compliance initiatives.

    • Keeping informed of legal and industry trends through benchmarking, participation in professional associations etc. to lead and support operations.
    • Maintaining a positive, professional environment in full compliance with applicable laws, regulations, policies and procedures; acting to ensure employees understand and comply with applicable laws, regulations, policies and procedures.
    • Performing additional functions, duties and specific tasks of a similar nature and scope as necessary in order to achieve assigned business objectives.


    Minimum Requirements

    MINIMUM QUALIFICATIONS AT ENTRY

    Basic Qualifications
    • U.S. Citizenship Preferred
    • At least 18 years of age
    • Ability to acquire and maintain any other specific special clearances/access requirements where appropriate.
    • Ability to obtain and retain a Top-Secret security clearance.

    Education / Experience
    • Juris Doctor (JD) from a nationally recognized, accredited US Law School. Admitted to and in good standing with the bar of at least one state
    • At least five (5) years of relevant professional legal experience spent in corporate counsel, private practice or regulated industry.
    • Strong working knowledge of federal and state labor and employment statutes.
    • Experience advising management (not solely representing employees or unions).
    • Experience supporting security services, government contracting, or multi-state service operations is strongly preferred and experience with cleared environments, NISPOM, or industrial security compliance is a strong plus
    • Demonstrated experience in managing and resolving disputes and claims. Familiarity with administrative agencies such as the National Labor Relations Board (NLRB), EEOC, or state labor boards.
    • Familiarity with multi-state private security licensing and commercial guard force operations, labor/employment law, commercial contracts, and regulatory compliance
    • Litigation management experience involving security incidents and employment law

    Background Prerequisites

    Must undergo and meet company standards for background and reference checks, controlled substance testing, and behavioral selection survey, in addition to any mandatory licensing requirements
